Tech DD for an enterprise investor intending to buy a SaaS platform

We assessed the risk of acquisition of a company providing SaaS solution for business analytics. The aim was to ensure that the acquired technology will meet the requirements of the potential acquisitor and its clients.

Background

The scope of this tech due diligence was to assess the risk of acquiring a SaaS platform for business analytics. The acquisitor needed to ensure that the technology developed by the acquired company would meet the requirements of its clients.

Assessment

Unicornly conducted interviews with the CTO and senior developers to recognize areas that could potentially be improved and to reveal possible risks. The due diligence also included analysis of source code and other metrics.

We revealed architecture vulnerabilities which turned out to be important for the platform in the long run. Despite the constantly ongoing minor improvements, the executive team had not developed a holistic plan for a long-term increase of performance, maintainability and scalability. Moreover, the team did not use accurate metrics, did not perform load tests, did not have any code-quality standards, and did not pay proper attention to analyzing implemented changes.

Results

As a result of the assessment, Unicornly delivered a 100-day plan for technical improvements in the system’s architecture. In addition to tasks and deadlines, the plan contained analysis of the costs and risks of the required improvements. We also prepared a list of recommendations, including the key metrics that would need to be monitored in order to keep the system’s long-term performance and maintainability at desirable levels.

Our findings were summarized in a final report which was presented to the Board of Directors in order to support their decision-making process regarding the potential acquisition.
