Tech DD of a supply chain software vendor

We performed a Technical Due Diligence of a supply chain software vendor. The aim was to evaluate general health and maturity of technology, technical team and processes prior to acquisition.

Background

Unicornly was approached by a PE fund to perform a Technical Due Diligence in order to evaluate a supply chain software provider prior to acquisition. The major scope of the assessment was to evaluate general health and maturity of technology, technical team and processes.

Assessment

Unicornly conducted a 4 weeks long assessment based on interviews with senior developers and technical team leaders. The process also included a deep analysis of the source code and technological infrastructure.

Our team found out that the target company was focused mainly on business aspects and neglected the technology side, although it was the core of their business. The organisation was basing on an outdated server infrastructure, that was not ensuring meeting required security standards. Moreover, the business was dependent on providers of an external software development service. Internal team members were not properly trained and incapable of maintaining the technology independently.

Results

Our A-Z analysis helped to highlight the vulnerabilities of the assessed company. As a result of the Due Diligence, a final report was provided, listing most important recommendations to mitigate the risks related to this acquisition. The backlog included, among others, a suggestion to renegotiate the contracts with external team members. As finding new talents would be time-consuming and expensive, it was mandatory to maintain the cooperation with current developers, but on a new basis. Also, in order to increase the security of the operating system, we suggested migration to cloud, and suggested AWS as the most effective solution provider in this case.

Despite the recognized risks, the investor was still interested in acquisition as the business value of the organisation surpassed its limitations. Basing on our findings and cost estimation compiled into the final report, both sides managed to successfully negotiate the deal and complete the transaction.
